Lippo Malls Indonesia Retail Trust (LMIR Trust) issued a S$750 million (US$ 596 million) guaranteed Euro medium term note programme. Standard Chartered Bank acted as the sole arranger of the programme and sole book-runner of the notes. HSBC Institutional Trust Services (Singapore) Ltd, as trustee of LMIR Trust, guaranteed the programme. Allen & Gledhill advised LMIR Trust and partners Margaret Chin and Glenn Foo led the deal.
Keppel Telecommunications & Transportation Issue
Advised by Allen & Gledhill, Keppel Telecommunications & Transportation LTD issued a S$500 million (US$397.46 million) multicurrency medium term note programme. United Overseas Bank Ltd acted as the arranger of the programme. Australia and New Zealand Banking Group Ltd, CIMB Bank Berhad, Citigroup Global Markets Singapore Pte Ltd, DBS Bank LTD, Oversea-Chinese Banking Corporation Ltd, Standard Chartered Bank, and United Overseas Bank Ltd acted as the dealers of the programme. Allen & Gledhill partner Margaret Chin led the transaction.
Baker & McKenzie Advise on Cheung Kong Deal
Cheung Kong (Holding Ltd) and their wholly owned subsidiary Cheung Kong Bond Securities Ltd (CKBS) issued an offering by CKBS of HK$ 1 billion (US$ 128.9 million) 5.25% guaranteed senior perpetual securities denominated in Hong Kong dollars. The securities are listed on the HKSE. DBS Bank Ltd was the sole lead maanger and book-runner for this transaction. Baker & Mckenzie advised Cheung Kong (Holdings) Ltd and partner Andrew Lockhart led the transaction.
Davis Polk Advises on Bond Offering
BOCI Asia Ltd and Morgan Stanley & Co International plc acted as managers for a Hong Kong law Regulation S-only offering by AVIC International Finance & Investment Ltd of RMB 1.5 billion (US&235.46 million) 4.8% guaranteed bonds due 2015. The bonds are guaranteed by AVIC International Holding Corporation. Davis Polk partner Paul Chow led the transaction. Linklaters advised the AVIC Group on Hong Kong law, Beijing Sunlight advised them on PRC law and Conyers Dill & Pearman advised on BVI law. Jingtian & Gongcheng advised the managers on PRC law.
China Yongda Automobiles IPO
Advised by Davis Polk, China Yongda Automobiles Services Holdings Ltd listed a HK$1.67 billion (US$215 million) IPO on the HKSE. Partners Bonnie Y Chan, Antony Dapiran and James C Lin led the transaction. Walkers acted as Cayman Island counsel led by partner Denise Wong. UBS and HSBC were the underwriters, joint global coordinators, and joint sponsors of the transaction. BOCOM International Securities LTD along with UBS and HSBC were the joint book-runners and were advised on Hong Kong and US law by Paul Hastings led by partners Raymond Li, Sammy Li, and Steven Winegar.
Success Well Investments Ltd Acquisition
Success Well Investments Ltd acquired HK$199 million (US$25.66 million) worth of shares in Tonic Industries Holding Ltd. Upon completion of the agreements as of May 7. 2012, Success Well Investments owned approximately 70.18% of all share capital issued by Tonic Industries, inducing a mandatory general offer. DLA Piper advised Success Well Investments with partner Jeffrey Mak leading the deal.
Simmons & Simmons Advises on China Asset Management Deal
Simmons & Simmons advised China Asset Management (Hong Kong) Ltd on the formation, SFC authorization, and HKSE listing of ChinaAMC CSI 200 Index ETF, the world’s first renminbi qualified foreign institutional investor (RQFII) A-Share exchange traded fund (EFT).
