       Automakers Agreement to Develop Electric Vehicles 

CODA Holdings and China’s Great Wall Motor Company have agreed to co-develop, building, and sell electric vehicles for the North American, Chinese, and European auto markets. Weil advised CODA and King & Wood Mallesons advised Great Wall Motor Company. Weil partner Anthony Wang led the team for this partnership. This partnership will allow both automakers to develop and sell electric vehicles efficiently and at low cost.

       GT Capital Holdings $500 million IPO

The $500 million IPO offered by GT Capital Holdings was the first IPO this year and the second biggest ever in the Philippines. Sidley Austin advised GT Capital on US Law and Feria Law advised as counsel on Philippine law. Allen & Overy acted as international counsel. UBS was the sole international underwriter for this IPO, and Picazo Byco Tan & Fider acted as their Philippine counsel. Sidley Austin’s team was led by partner Alex Lloyd and included Benjamin Carale and Dorothy Dizon.

       Petronet Plans to Build LNG Plant in East India 

Petronet LNG plans to build a liquefied natural gas (LNG) terminal on India’s east coast investing 45 billion rupees ($853.89 million) on this project. Petronet made an agreement with Gangavaram Port Ltd. to build this plant in Andhra Pradesh state and plan to finish this building by 2016.

       PT Alam Sutera Realty Issuance 

PT Alam Sutera Realty Tbk made an issuance of US$150 million 10.75% senior notes due in 2017. Allen & Gledhill acted as Singapore law counsel and Morgan Stanley Asia (Singapore) and UBS AG Singapore Branch acted as joint book runners and lead managers. Allen & Gledhill partner Glenn Foo led this deal.

       Eros International Acquisition

Bollywood film producer and distributor Eros International PLC acquired the remaining 76% stake of B4U Television Network valuing at US$53.1 million. Amarchand advised Eros International on this acquisition and partner Puja Sondhi led the transaction. Cleary Gottleib advised B4U Television network.

       Clifford Chance Advises on Haitong IPO

Haitong Securities Company issued a US$1.68 billion H share offering, which was the largest IPO listing on the HKSE this year. Clifford Chance advised this deal and Haitong International, JP Morgan, Credit Suisse, Deutsche Bank, Citigroup, and UBS were joint global coordinators and book runners for this offering. HSBC, Nomura, ICBC International, Standard Chartered and BoCom International were also joint book runners. Clifford Chance partners Cherry Chan and Tim Wang led the deal. Paul Hastings advised the joint global coordinators and book runners with a team led by partners Raymond Li, Catherine Tsang, Steven Winegar.

       Jagran Prakashan Acquisition

Jagran Prakashan, one of the largest media conglomerates in India, acquired a 100% equity stake in Suvi Info Management (Indore) Private Ltd, the parent company of Naidunia Media Ltd. Khaitan & Co partner Rajat Mukherjee advised on this transaction.

       China Shanshui Cement Group Issuance

China Shanshui Cement Group Ltd. issued $400 million 10.5% senior notes due 2017listed on the SGX. Maples and Calder acted as Cayman Islands law and BVI law counsel to China Shanshui Cement Group. Credit Suisse, Deutsche Bank, HSBC, and JP Morgan are joint lead managers and book runners for this transaction. Maples and Calder partner John Trehey led this deal.

       Collective Brands Acquisition 

Collective Brands Inc acquired Wolverine Worldwide, Blum Capital Partners, and Golden Gate Capital valued at US$ 2 billion. Sullivan & Cromwell advised on this transaction that was announced on May 1, 2012. The Sullivan & Cromwell team for this deal included partners Frank Aquila, Audra Cohen, Melissa Sawyer, Neal McKnight, Mathew Friestedt, and Ronald Creamer Jr.
